1. About These Terms

Wash & Buzz LLC ("Wash & Buzz," "we," "us") operates the Wash & Buzz Point-Of-Sale (POS) system and software services ("Service") for dry cleaners and laundromats. Our platform is offered through our website www.washandbuzz.com ("Site") and via our web-based application ("App") to support point of sale, order tracking, customer management, and delivery logistics.

These Terms of Service ("Terms") govern your use of our Service. By using our Service, you agree to be legally bound by these Terms, including our Privacy Policy and any additional service-level agreements we may provide (collectively, the "Agreement").

2. Changes to These Terms or the Service

We reserve the right to update these Terms at any time. Updates will be posted on our Site or App and become effective immediately upon publication. Continued use of the Service after changes constitutes acceptance.

4. About the Service

Wash & Buzz provides POS systems, websites, and optional pickup/delivery tools to laundry and dry cleaning businesses. You must have an active account with us ("Account") to use the Service. We onboard customers through a signed or written agreement.

5. Grant of License

We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with this Agreement. Misuse may result in suspension or termination of access.

You agree not to:

• Modify, reverse-engineer, resell, or interfere with the Service or related systems.
• Use the Service for illegal or harmful purposes.
• Input or distribute content that infringes on third-party intellectual property rights.
• Overload our systems or engage in fraudulent activities.

You are responsible for ensuring that any data you upload complies with all applicable laws and regulations.

6. Payment Terms

Our pricing for new or returning customers is publicly posted on our website, www.washandbuzz.com.

• Payments are billed monthly or annually depending on your selection.
• No refunds are offered for mid-term cancellations or unused services.
• Hardware purchased through our Rent-to-Own program remains Wash & Buzz's property until paid in full.
• Missed or delayed payments may result in account suspension.

7. Termination

Either party may terminate the Agreement with written notice. Termination does not relieve you of payment obligations incurred prior to termination.

Upon termination:

• You may lose access to your account and historical data.
• Wash & Buzz is not responsible for retaining or exporting your data unless otherwise agreed in writing.
• Early termination of annual subscriptions may result in full payment of the remaining balance.

8. Data Privacy

You or your customers, partners, or associates are the owner of any data you upload into the Service ("Your Data").

Wash & Buzz is the owner of all other data, including system-generated and aggregated data ("Wash & Buzz Data").

Subject to our Privacy Policy, Wash & Buzz may use Wash & Buzz Data to improve or adapt its services or develop new products.

By using our Service, we may need to process the personal data of your customers. Both you and Wash & Buzz will comply with applicable data protection laws.

Where we process personal data on your behalf, you act as the controller and Wash & Buzz acts as the processor.

We will:

• Only process Your Data with your consent, unless required by law.
• Maintain appropriate security measures to protect personal data.
• Not transfer Your Data outside the United States of America, unless required by law.
• Assist you in responding to data subject requests.
• Notify you, without undue delay, of any personal data breach.
• Ensure confidentiality of our staff handling personal data.
• Delete or return personal data on termination unless otherwise required by law.
• Maintain records of processing and allow for audits if needed.

You consent to Wash & Buzz appointing subprocessors (e.g. application hosting platforms, payment processors) under similar obligations.

9. Your Account

You are responsible for safeguarding your account credentials and any activity under your account. Notify us immediately of unauthorized access.

Wash & Buzz may access your account to perform maintenance or support operations.

10. Indemnity

You agree to indemnify and hold harmless Wash & Buzz, its officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• your use of the Service,
• your violation of these Terms,
• or any content or data you upload, submit, or otherwise transmit through the Service, including any claims that such data infringes or violates the rights of a third party or breaches applicable laws.

This indemnity does not apply to the extent such claims arise from our gross negligence or willful misconduct.

11. Disclaimer

The Service is provided "as is" and "as available." We do not guarantee uninterrupted service, nor do we warrant it will meet your specific needs. Wash & Buzz disclaims all warranties to the fullest extent permitted by law.

12. Limitation of Liability

To the fullest extent allowed by law, our liability is limited to the total amount you paid for the Service in the past three (3) months or $500, whichever is lower.

We are not liable for lost profits, business interruptions, or data loss while using the Services unless caused by our gross negligence or willful misconduct.

13. Force Majeure

Wash & Buzz is not liable for delays or failure to perform due to events outside our reasonable control.

14. General Provisions

These Terms are governed by the laws of the State of New York. Any disputes will be resolved in the state or federal courts located in New York County, New York.

You may not assign or transfer your rights without our prior written consent.

15. Uptime & Support (Service Level)

Support is available by email (sam@washandbuzz.com, dan@washandbuzz.com) and response times may vary based on your subscription tier.

No refunds or credits are provided for minor service disruptions.

16. Intellectual Property

All content, features, and functionality available through the Wash & Buzz platform—including but not limited to software, design, text, graphics, logos, icons, images, audio clips, and code—are the exclusive property of Wash & Buzz LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, reproduce, republish, upload, post, transmit, or distribute any part of the Service or related content without our prior written consent, except as expressly permitted in these Terms.

All trademarks, service marks, and trade names of Wash & Buzz used in connection with the Service are proprietary to Wash & Buzz LLC. Unauthorized use is strictly prohibited.
